Terms, trust,
and disclosures.

The Platform is available to individuals 18 years or older and to legal entities able to enter into binding contracts under applicable law. Sellers must be the verified originator of the listed IP or an authorized representative.

EIPX facilitates the listing, optioning, licensing, and sale of validated business plans, franchise models, and startup IP. EIPX is not a broker-dealer, investment adviser, or exchange for securities. Listings represent operational IP and contractual rights — not ownership interests in any issuer.

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use.

• All transactions above the Idea Tier are executed through escrow.
• Option agreements follow Hollywood-style shelter terms: exclusive window, defined strike, right to purchase or license.
• Funds are released only after dossier delivery and buyer acceptance criteria are met.
• EIPX charges transaction fees disclosed at checkout.

By listing, sellers warrant that they own or have licensed the IP, that the disclosed materials are accurate, and that the listing does not infringe any third-party rights. Misrepresentation is grounds for delisting, refund, and account termination.

Buyers agree to use dossier materials solely for evaluation during the NDA window and to execute a definitive agreement before commercial use. Reverse engineering, redistribution, or circumvention of the option is prohibited.

• Listing IP you do not own or are not authorized to license.
• Scraping, mirroring, or reselling dossier materials.
• Using the Platform to solicit securities or unregistered investments.
• Attempting to contact sellers outside the Platform to bypass escrow.

Listing fees, transaction fees, and escrow charges are disclosed at the point of transaction and may change with 30 days' notice.

EIPX may suspend or terminate accounts for breach of these Terms, fraud, or risk to the marketplace. You may close your account at any time; open transactions remain governed by these Terms.

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. EIPX DOES NOT GUARANTEE THE COMMERCIAL SUCCESS OF ANY LISTED IP. VALUATIONS ARE INDICATIVE AND NOT INVESTMENT ADVICE.

To the maximum extent permitted by law, EIPX's aggregate liability arising out of or relating to the Platform will not exceed the greater of (a) fees paid to EIPX in the 12 months preceding the claim or (b) US $100.

These Terms are governed by the laws of the State of Florida, USA, without regard to conflicts of law principles. Disputes will be resolved in the state or federal courts located in Miami-Dade County, Florida.

We may update these Terms. Material changes will be announced on the Platform and take effect 14 days after posting.
